User agrees to indemnify, defend and hold APNL and its partners, affiliates, directors, officers, employees, agents and licensors (collectively, “Affiliated Parties”) harmless from any liability, loss, claim and expense related to a User’s violation of this Agreement or use of the Site.
User’s right to use the Site is not transferable. Any password or right given to User is not transferable.
APNL reserves the right, and User authorizes APNL, to the use and assignment of all information regarding Site uses by User and all information provided by User in any manner consistent with the APNL Privacy Policy. By using this Site you agree to be bound by the terms of APNL’s Privacy Policy which forms part of these Terms of Use governing this site.
In order to obtain access to the Member Service portions of the Site, you must be a current member of APNL and insert your username and password. You agree that you will be responsible for maintaining your user account as confidential and for any activity that occurs as a result of your enabling or permitting another person or entity to use your account. You agree to immediately notify us in the event that (i) your account is lost or stolen, or (ii) you become aware of any unauthorized use of your account or of any other breach of security that might affect the Site. APNL is not responsible for any loss or damage arising from your failure to comply with the provisions of this Section.
You acknowledge and agree that APNL may terminate your access privileges and remove and discard any content without notice to you for any reason, including without limitation, if (i) you do not use the Site for what APNL, in its sole discretion, deems to be an extended period of time, (ii) APNL believes that you have violated any provision of this Agreement, and/or (iii) you have otherwise acted or failed to act in any manner that APNL deems objectionable. This agreement shall be treated as though it were executed and performed in the Province of Newfoundland & Labrador, and shall be governed by and construed in accordance with the laws of the Province of Newfoundland & Labrador and Canada (without regard to conflict of law principles). All actions shall be subject to the limitations set forth in Section 8. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against either party. You agree to the non-exclusive jurisdiction of the Newfoundland & Labrador Courts. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Failure of APNL to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision.
The application of the United Nations Convention of Contracts for the International Sale of Goods and the International Sales of Goods Act (Newfoundland & Labrador), as amended, are expressly excluded.
